Soho House, the private members’ club founded in London in the mid-1990s, is to be taken private in a £2bn takeover led by US hotel giant MCR Hotels and backed by the actor Ashton Kutcher.
The deal, announced on Monday, will see shareholders in Soho House & Co receive $9 (£6.64) per share, valuing the New York-listed hospitality group at about $2.7bn including debt.
MCR, which runs more than 150 hotels in the US, has teamed up with Apollo Global Management to spearhead the buyout. Kutcher – better known for his Hollywood career but now an active tech investor – will also put money into the business and join its board. Tyler Morse, MCR’s founder and chief executive, will become vice-chair.
Several long-time backers, including the billionaire supermarket magnate Ron Burkle, restaurateur Richard Caring and Soho House founder Nick Jones, will retain their stakes.
Soho House started with a single club in London’s Greek Street in 1995 and has since grown into a global brand with 46 members’ houses, eight Soho Works co-working spaces, and beach clubs in Mykonos and Bodrum. Its portfolio also includes the Ned hotel brand.
Andrew Carnie, chief executive of Soho House & Co, said the transaction was a vote of confidence in the business’s transformation since its 2021 stock market listing. “I’m incredibly proud of what our teams have accomplished and am excited about our future, as we continue to be guided by our members and grounded in the spirit that makes Soho House so special,” he said.
Morse said MCR was eager to help expand the network further. “We have long admired Soho House for bringing together cultures from around the world into a global network of 46 houses, and we look forward to the continued growth of that fabric, starting with four new houses opening soon.”
